Terms of Service

Effective Date: 3 November 2025

These Terms of Service ("Terms") govern your access to and use of Briefpa, a secure digital delivery platform operated by Carter Imports Pty Ltd (ABN 11 642 784 263) ("we", "our", or "us").

By accessing or using Briefpa, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the service.

1.Acceptance of Terms

By creating an account or using any part of Briefpa, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • You will comply with all applicable laws and regulations
  • You have read and understood our Privacy Policy

2.Service Description

Briefpa provides a secure platform for sending encrypted digital files and messages to designated recipients. Key features include:

  • End-to-end encrypted file transmission
  • Time-limited delivery access
  • Automatic content destruction after expiry
  • Self-destruct delivery options
  • Delivery tracking and access logs

Important: Briefpa is designed for secure temporary file transmission, not permanent storage. All deliveries are automatically destroyed after the specified period.

3.Account Registration

To use Briefpa, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised access
  • Accept responsibility for all activities under your account

You may not:

  • Share your account with others
  • Create multiple accounts to circumvent usage limits
  • Use false or misleading information
  • Impersonate another person or entity

4.Subscription Plans and Billing

4.1 Free Plan

The Free plan includes:

  • 3 deliveries per month (resets on the 1st)
  • 100MB maximum file size per delivery
  • 7-day maximum expiry period
  • Standard encryption and security features

Unused deliveries do not roll over to the next month.

4.2 Paid Plans

Paid subscriptions (Pro and Agency) include:

  • Increased delivery quotas and file size limits
  • Extended expiry options
  • Priority support
  • Advanced features (custom branding, analytics, etc.)

4.3 Billing and Payments

  • All paid plans are billed monthly or annually in advance
  • Payments are processed securely through Stripe
  • Prices are in Australian Dollars (AUD) unless otherwise stated
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice

4.4 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged using your stored payment method. You can cancel auto-renewal at any time from your account dashboard.

4.5 Cancellation and Downgrade

You may cancel or downgrade your subscription at any time:

  • Cancellations take effect at the end of the current billing period
  • You retain access to paid features until the period ends
  • Downgrading to Free will reset your quota to 3 deliveries/month
  • No refunds are provided for partial months

5.Acceptable Use

You agree to use Briefpa only for lawful purposes. You may not:

  • Transmit illegal, harmful, or offensive content
  • Violate intellectual property rights
  • Distribute malware, viruses, or malicious code
  • Harass, threaten, or harm others
  • Send unsolicited commercial messages (spam)
  • Attempt to gain unauthorised access to the platform or other users' accounts
  • Use the service to facilitate fraud, money laundering, or other criminal activity
  • Reverse engineer, decompile, or modify the platform
  • Scrape, crawl, or automate access without permission

Violation of these terms may result in immediate account suspension or termination.

6.Content and Data

6.1 Your Responsibility

You are solely responsible for:

  • The content you upload and transmit
  • Ensuring you have the right to share the content
  • Backing up important files before sending
  • Complying with applicable data protection laws

6.2 Our Role

We do not:

  • Monitor or review the content of your deliveries
  • Claim ownership of your content
  • Use your content for any purpose beyond facilitating delivery

However, we reserve the right to:

  • Remove content that violates these Terms
  • Suspend or terminate accounts engaged in prohibited conduct
  • Cooperate with law enforcement investigations

6.3 Encryption and Destruction

All delivery content is:

  • Encrypted using AES-256 encryption
  • Stored temporarily until expiry or access
  • Automatically and permanently destroyed after the specified period

Once destroyed, content cannot be recovered—even by us. Ensure you retain copies of important files.

7.Intellectual Property

The Briefpa platform, including its design, code, logo, and branding, is owned by Carter Imports Pty Ltd and protected by Australian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use Briefpa for its intended purpose. You may not:

  • Copy, modify, or distribute the platform
  • Use our branding without permission
  • Remove copyright or proprietary notices

8.Disclaimers and Limitations of Liability

8.1 Service Availability

Briefpa is provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • That the service will meet your specific requirements
  • That deliveries will always reach recipients

8.2 Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months prior to the claim
  • We are not responsible for data loss, business interruption, or lost profits

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

8.3 Australian Consumer Law

Nothing in these Terms excludes or limits the application of the Australian Consumer Law, including your rights to consumer guarantees that cannot be excluded.

9.Indemnification

You agree to indemnify and hold harmless Carter Imports Pty Ltd, its directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of Briefpa
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Content you upload or transmit

10.Termination

10.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination:

  • Your access to Briefpa will cease immediately
  • All active deliveries will be destroyed
  • Account data will be deleted in accordance with our Privacy Policy

10.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails or is reversed
  • We are required to do so by law
  • Your account is inactive for more than 12 months

We will provide reasonable notice before termination unless prohibited by law or in cases of serious misconduct.

11.Governing Law and Disputes

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of Briefpa shall be subject to the exclusive jurisdiction of the courts of Queensland.

Before commencing legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@briefpa.app.

12.Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will:

  • Update the "Effective Date" at the top of this document
  • Notify you via email or a prominent notice on the platform
  • Provide at least 30 days' notice for significant changes

Your continued use of Briefpa after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the service and delete your account.

13.General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Carter Imports Pty Ltd.
  • Severability: If any provision is found to be unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce a right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights to a successor or affiliate.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
